Maconomy’s Board of Directors have taken into account the most recent ”Recommendations for Good Corporate Governance” by the Committee on Corporate Governance as of 10 December 2008.
The Board applies the “comply and explain” principle and Maconomy A/S complies with the recommendations in a prudent and satisfactory manner. However, there are a few exceptions:

- V.7 Time allocated to supervisory board and the number of directorships
- VI.2 Remuneration policy
No policy has been formalised and put in writing in relation to stakeholders (cf. item II.1), but the Board continuously ensures that the best interests of the stakeholders are observed. Similarly, no policies have been established to describe the roles of the stakeholders and their interest (cf. item II.2). The company does not comply with the recommendation for the number of positions of trust (cf. item V.7) since some of Maconomy’s Board members hold more positions of trust than recommended. However, the Board is highly committed to making sure all Board members have adequate time to do work for the Board of Directors in Maconomy. Finally, a remuneration policy has not been formalised (cf. item VI.2). The Board supervises that the remuneration of the Executive Board – the fixed salary as well as incentive programs – are in accordance with the best interests of the shareholders and Maconomy.
The Board of Directors and the Executive Board have implemented self-evaluation – the second one is scheduled for 2009 – on the collaboration between the Executive Board and the Board of Directors.
